Terms of Service

In plain English

You’re paying us for a research memo. We’ll deliver it on time, sourced and structured. You own what we deliver. If you’re unhappy, we’ll revise once and refund if still unsatisfied. Don’t use what we send for illegal purposes. Our liability is capped at what you paid.

1. The agreement

These Terms govern your purchase of memos from Memodesk, a service operated by Hancock Digital Design LLC (“Memodesk,” “we,” “us”). By placing an order, you agree to these Terms.

2. What we sell

Memodesk sells three fixed-scope research deliverables (“Memos”):

  • Competitive Landscape Memo — $497 USD, delivered within 24 hours of brief confirmation
  • Market Entry Memo — $997 USD, delivered within 24 hours of brief confirmation
  • Diligence Memo — $1,997 USD, delivered within 24 hours of brief confirmation

Each memo’s scope is defined on memodesk.co at the time of purchase. We do not provide consulting, ongoing advisory, slide decks, workshops, or implementation. The memo is the product.

3. Payment

Payment is processed by Stripe, Inc. We do not store your full payment card details. All prices are in US dollars and billed once at the time of purchase. Applicable sales taxes, if any, will be calculated and collected at checkout.

4. The clock

Your turnaround clock starts when we confirm scope of your submitted brief in writing — typically within one hour during US business hours, never longer than 12 hours. If we cannot confirm scope (for example, the brief is missing critical inputs), we will reach out to clarify before starting the clock.

5. Your responsibilities

You agree to:

  • Submit your brief promptly using the intake form
  • Provide accurate, lawful information in your brief
  • Respond to clarifying questions from us within a reasonable window during the turnaround period
  • Use the delivered memo for lawful business purposes

6. Intellectual property

The memo we deliver is yours. Upon successful payment, you receive a perpetual, worldwide, transferable license to use the memo for any lawful internal or external business purpose, including sharing with investors, employees, advisors, or quoting in your own materials with attribution.

We retain the right to use anonymized, redacted samples of completed memos as marketing collateral only with your explicit written permission, which we will request separately if we ever wish to do so.

The Memodesk brand, website, copy, and process methodology remain our property.

7. Confidentiality

Information you provide in your brief — including your company, your decision context, internal documents shared with us, and the fact that you purchased a memo — is confidential. We will not disclose it to third parties except as needed to deliver the memo (for example, the Notion delivery page link is shared only with you) or as required by law.

8. Sources and accuracy

Memos are built from publicly available sources, your provided context, and our research process. We cite sources throughout and verify claims to the best of our ability. However:

  • Public sources can be incomplete, outdated, or themselves inaccurate
  • We do not guarantee that the memo contains every relevant fact or that every cited source remains accurate after delivery
  • The memo is research and analysis, not legal, financial, tax, investment, or medical advice

You are responsible for independently validating any conclusion before making material business decisions based on the memo.

9. Refunds and revisions

Refunds and revisions are governed by our Refund Policy, incorporated by reference into these Terms.

10. Acceptable use

You agree not to use Memodesk to:

  • Conduct unlawful surveillance of individuals
  • Facilitate harassment, defamation, or anti-competitive activity prohibited by applicable law
  • Resell the memo as your own product (internal use, sharing with stakeholders, and quoting with attribution are all permitted)

We reserve the right to refuse or cancel any order — with full refund — if we determine the request would violate this section or our professional judgment.

11. Disclaimers

Except as expressly stated, the Memos and the memodesk.co website are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising from or related to your purchase of any Memo is limited to the amount you paid for that Memo. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost business opportunities, even if we have been advised of the possibility of such damages.

This section reflects the agreed allocation of risk between you and us and forms an essential basis of our pricing.

13. Indemnification

You agree to indemnify and hold harmless Hancock Digital Design LLC and its members from any claims arising out of (a) your breach of these Terms, (b) your use of the delivered memo, or (c) inaccurate or unlawful information you provided in your brief.

14. Termination

These Terms remain in effect from your order until both parties have completed their obligations under them and any applicable refund window has closed. Sections that by their nature should survive termination — intellectual property, confidentiality, disclaimers, limitation of liability, and governing law — survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Denver County, Colorado, and you consent to personal jurisdiction there.

16. Changes

We may update these Terms from time to time. The version in effect at the time of your order governs that order. Continued use of memodesk.co after changes are posted constitutes acceptance for future orders.
